SWEEPSTAKES IS OPEN TO LEGAL RESIDENTS 18 YEARS OF AGE AND OLDER OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO U.S. LAW. DO NOT ENTER THIS SWEEPSTAKES IF YOU ARE NOT LOCATED IN THE 50 UNITED STATES OR DISTRICT OF COLUMBIA.

1. TO ENTER:
Access www.verybestbaking.com between 12:01 AM ET on 1/1/10 and 11:59 PM ET on 2/28/10 (the "Sweepstakes Period") and follow the on-screen instructions to register for the site. Registered users, whether new to the site or current users, will be automatically entered in the Sweepstakes upon earning 200 "Brownie Points" (details on earning Brownie Points in Section 2). All entrants must have a valid e-mail address. Limit one (1) entry per person and per e-mail address, regardless of whether more than one person uses the same e-mail address. In case of dispute as to identity of the winner who enters, entry will be declared made by the registered user (meeting eligibility criteria) of the e-mail account, and if a prize is won, it will be awarded to that registered user. Proof of entry submission does not equate to proof of receipt. There is a limit of one entry per person, per address, per email address during the Sweepstakes Period. In case of dispute as to identity of the winner who enters, entry will be declared made by the registered user (meeting eligibility criteria) of the e-mail account, and if a prize is won, it will be awarded to that registered user
2. "BROWNIE POINTS" & QUALIFICATIONS FOR ENTRY:
Once you are registered at www.VeryBestBaking.com, you will be able to earn "Brownie Points" for performing certain "Activities" (or, singularly, "Activity") on the website. . Activities and their points values are listed on the following chart:

As a registered user accumulates "Brownie Points" on the VeryBestBaking.com Web site, his or her total "Brownie Points" earned to date will be posted on the user's home page. Registered users of the Web site who have earned 200 (or more) "Brownie Points" on the site during the Sweepstake Period are automatically entered into the Sweepstakes upon hitting the 200 Brownie Points mark. Limit one (1) entry per person, per e-mail address, regardless of whether more than one person uses the same e-mail address or whether registered user earns more than 200 Brownie Points in the Sweepstakes Period.
Submitted recipes, recipe reviews and memories will be screened within 5-10 business days of receipt for content deemed inappropriate by Sponsor, such as, for example, profane language and inappropriate subject matter. All submitted recipes, recipe reviews and memories must conform to the guidelines outlined on site. Sponsor reserves the right, in its sole discretion, to reject or edit any submissions. All materials submitted become property of the Sponsor and can be used by Sponsor in all media without any further compensation to, or permission from, the submitter of such materials. Each submitter represents that unless otherwise noted, his/her submission is his/her original work. "Brownie Points" will be awarded for each submission after it has passed this screening process and has been posted on www.VeryBestBaking.com.
3. PRIZES/ODDS: Five (5) Grand Prizes consisting of one (1) $500.00 Visa® Gift Card. (ARV: $500.00 per prize. Total ARV of all prizes: $2500.00). No cash substitutions for prizes will be permitted and prizes are non-refundable and non-transferable, except at sole discretion of sponsor. Nestle reserves the right to substitute prize of equal or greater value. Limit one prize per person/e-mail address. Federal, state and local taxes are solely the responsibility of the winner. Actual odds of winning depend on the number of valid entries received. All prizes will be awarded if the number of eligible entries is equal to or greater than the number of prizes available.
4. DRAWING: Winners will be selected in a random drawing to be held by the judges on or about 3/15/10 from all valid entries received. Winners will be contacted by mail on or about 3/26/10 at the street address provided. Return of any prize or notification as undeliverable will result in disqualification and an alternate winner may be randomly selected. Prizes will be delivered approximately 6-8 weeks after verification of eligibility. Grand Prize winners may be required to complete and return Affidavits of Eligibility and, where lawful, Publicity Releases. Affidavits of Eligibility/Publicity Releases must be returned within fourteen (14) days of notification or the Grand Prize will be forfeited and an alternate winner may be randomly selected.
5. ELIGIBILITY: Sweepstakes open to legal residents of the 50 U.S. and District of Columbia, 18 years or older, except employees and the families of Nestlé USA, their affiliates, subsidiaries, promotion and advertising agencies. Nestlé USA, their affiliated companies, representatives, agents or employees are not responsible for, and shall be indemnified by, the prize winner against, any claims, injuries, losses or damages of any kind resulting from acceptance, use, misuse, possession, or loss of the prize. Subject to all federal, state and local laws. Void where prohibited or restricted by law.
6. RELEASE OF LIABILITY & PUBLICITY: All winners consent to the use of their names, photographs or likenesses for publicity or advertising purposes without further compensation, where permitted by law. All entrants release Sponsor, and each of its parents, affiliates, subsidiaries, officers, directors, shareholders, agents, employees, and all others associated with the development and execution of this Sweepstakes, from any and all liability with respect to, or in any way arising from, this Sweepstakes and/or acceptance or use of the prize, including liability for personal injury, damages, death or monetary loss. Sponsor assumes no responsibility for any injury, loss or damage to entrants' or to any other person's computer relating to, or resulting from, entering or downloading any information or software in connection with this Sweepstakes. Sponsor and its agents are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user, or by any of the equipment or programming associated with or utilized in this Sweepstakes, or by any human or other errors that may occur in connection with this Sweepstakes.
7. Other Conditions: Sponsor assumes no responsibility for computer system, phone line, hardware, software or program malfunctions or other errors, failures of any kinds, delayed computer transmissions or network connections that are human or technical in nature. Sponsor reserves the right in its sole discretion to cancel or suspend this sweepstakes, in its entirety or in part should virus, bug, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond Sponsor's control corrupt the administration, security, fairness, integrity or proper play of the sweepstakes. Sponsor is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the sweepstakes by an technical or human errors which may occur in the processing of the entries in the sweepstakes. Sponsor reserves the right to withdraw the transmission of this sweepstakes at any time and award the Prize from among eligible entries received prior to the date of the withdrawal. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the game or web-site or to be acting in violation of the Rules. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE CONTEST. P.O. Box 72774, Dept W, Rockford, MN 55572, postmarked by 3/28/10 and received by 4/8/10. Residents of VT and WA may omit return postage.
